Terms of Service

Zendrun is a marketplace. Requesters post errands and fund them into escrow; runners do them, front money at the point of sale where needed, and are reimbursed from that escrow. These terms say who owes what to whom.

Draft
Written for the prototype so the product and the terms say the same thing. It is not legal advice and has not been reviewed by a Nigerian lawyer. Review before launch, particularly the NDPA, CBN and consumer-protection parts.

1. Who we are and who can use Zendrun

Zendrun is operated by Zendrun Technologies Ltd (in formation), a Nigerian company. Version 1 is offered to people in Nigeria only. You must be 18 or older, hold a Nigeria mobile number, and, to run errands or post errands that involve money, complete identity verification (a NIN with a liveness check, a BVN, and a bank account in your own name). One person, one account.

Zendrun is a platform, not the party doing the errand. Requesters and runners contract with each other for the errand itself; Zendrun provides the escrow, the review, the check-in tools, the dispute process, and the reimbursement guarantee described below.

2. Escrow, fees and reimbursement

Funding. An errand goes live only after the requester has funded it: the spend ceiling, any overage tolerance, the runner fee, and the platform fee are held in the requester's Zendrun wallet as escrow. Escrow is not a deposit or a loan; it is money you have committed to a specific errand.

Platform fee. The greater of ₦200 or 12% of the runner fee plus 1.5% of the spend ceiling and tolerance, paid by the requester. The minimum runner fee is ₦500.

Reimbursement. A runner who pays at the point of sale in line with the brief and the check-ins is reimbursed from escrow up to the ceiling plus tolerance plus any overage the requester approved in-app, on completion, or 24 hours after proof is submitted if the requester does not respond. A dispute does not hold reimbursement; it is paid first and argued after. Spend above every cap is the runner's own.

Settlement. Unused escrow returns to the requester. Approved overage beyond escrow, and waiting fees (₦25 per minute after 15 minutes), are charged to the requester's wallet. Attempted errands (blocked by a documented external cause) pay 40% of the fee plus full reimbursement.

Wallets and payouts. Wallet balances are held with our payment partner and can be withdrawn to your verified bank account. We are not a bank. Withdrawals may be paused for verification or fraud checks.

3. Review of errands

Every errand passes automated checks before it can be funded, and is reviewed by Zendrun staff after it goes live. We may ask you for more information, take an errand down (escrow refunded in full), or close the account that posted it. Refused categories are listed on the policies page. Posting a task that is on that list, or disguising one, is a breach of these terms.

On approval the review produces the check-in plan the runner must follow. The plan is part of the errand's terms.

4. Deadlines, custody and who bears a loss

One principle: whoever controlled a delay owns its cost. The full schedule is on the policies page and is part of these terms. In short: a runner who is late loses part or all of the fee, never fronted money, unless they missed a hard deadline through their own fault, which they accept explicitly when they take the errand. A requester who causes delay pays in full plus a waiting fee. A documented external cause penalises nobody.

Custody. Goods are the runner's responsibility from the receipt to the handover code. Loss or damage in that window is not reimbursed unless inherent to the item and photographed at purchase. After 30 minutes unreachable at the handover point, risk passes to the requester. No code, no handover.

Start window. An accepted errand not started within 30 minutes returns to the pool.

Locked once assigned. Until a runner accepts, a requester may edit or delete an errand (edits are re-reviewed; deletion refunds escrow). From acceptance the brief is locked and the errand cannot be deleted; it may only be cancelled under the cancellation terms on the policies page, and its record is kept.

5. Conduct

  • No sharing of logins, OTPs or PINs in either direction. A runner never holds a requester's credentials.
  • No impersonation. A runner acts as themselves and, where they act on a requester's behalf, says so.
  • No off-platform dealing: profiles carry no contact details; soliciting or offering work outside Zendrun closes both accounts.
  • No cash collection from third parties, no moving money for others, no restricted goods, no tasks on the refusal catalogue.
  • Evidence must be genuine. Faked photos, receipts or locations are fraud and are reported.

6. Off-platform work

Escrow, review, check-ins, custody rules, the reimbursement guarantee and the dispute process exist only for errands posted through Zendrun. Zendrun is not liable for any loss arising from work arranged with a runner outside the platform, however you met.

7. Disputes

Either side may open a dispute from the errand once proof is submitted, or within 7 days of settlement. Both sides have 48 hours to add statements and evidence; the errand's own record (brief, review, check-ins, photos, receipts, locations, messages) is attached automatically. A reviewer decides within 5 working days and may adjust the settlement; either side may appeal once, within 3 days, to a second reviewer. Reimbursement of fronted money is never held by a dispute. Repeated disputes lost affect tier and can close an account. Nothing here stops you going to court or the Federal Competition and Consumer Protection Commission.

8. Gear

Gear bought in the store is customised with your QR and registered to you at handover. It is not transferable. Using it to present yourself as a runner where you have no errand, or after your account is closed, is a breach and the registration is revoked.

9. Our liability

We are liable for the escrow we hold and the reimbursement guarantee as described. Beyond that, to the extent the law allows, our liability to you for anything arising from Zendrun is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential loss, or for the acts of another user beyond what the escrow and guarantee cover. Nothing limits liability for fraud, death or personal injury caused by our negligence, or anything that cannot be limited under Nigerian law.

10. Suspension and closure

Warnings and bans. A light breach of these terms earns a warning; the fifth warning closes the account permanently. A serious breach (fraud, scams, credentials, impersonation, threats, restricted goods, taking an errand off the platform, endangering someone) closes it permanently the first time. Warnings do not expire. The list is on the policies page. A closure can be appealed once within 14 days. We can also suspend or close an account for suspected fraud, failed verification, or a lawful request. You can close yours from account settings once you have no open errands, nothing fronted and nothing in escrow. Verification records are kept for five years as required by anti-money-laundering rules.

11. Governing law and changes

Nigerian law governs these terms; the courts of Lagos State have jurisdiction. We may change these terms with 14 days' notice in-app and by email; continued use after that is acceptance. The policies page, the Privacy Policy and, for runners, the Runner Agreement are part of these terms.

Zendrun Technologies Ltd (in formation) · questions to legal@zendrun.com. Changes are announced in-app and by email 14 days before they take effect, except where the law requires sooner.
